Welcome to PetroSuites. These Terms and Conditions outline the rules for using PetroSuites’ services, including private offices, coworking spaces, virtual office services, and meeting rooms. By accessing services, you agree to comply with these terms.

These T&C are incorporated into the Membership Agreement between First H&H Holding, LLC (“H&H” operating as “PetroSuites”) and the Company. By entering the Agreement and using Membership Services, the Company agrees to comply with these T&C.

H&H reserves the right to amend these T&C. Updates will be posted on www.petrosuites.com/t-c. Continued use constitutes acceptance of updated T&C.

2.1 Damage and Interference

• Members must promptly notify PetroSuites of any damage or interference with normal space use.

2.2 Key and Access Devices

• No duplication of keys or access devices permitted
• One entrance door key/fob and one office door key provided at no cost
• Replacement fees: $20 per key, $50 per fob

2.3 Substitution of Space

• PetroSuites may substitute comparable space with 30 days’ notice
• PetroSuites covers reasonable move expenses

3.1 Acknowledgment of Risks

Members acknowledge inherent security, privacy, and confidentiality risks when accessing network or internet services, including transmission interception, data loss, and viruses.

3.2 Limitation of Liability

PetroSuites is not liable for losses from internet service use, including data loss, viruses, or unauthorized access.

3.3 Hold Harmless

Members hold PetroSuites harmless from damages from internet use, except for gross negligence or willful misconduct by PetroSuites.

4.1 Designation

Companies must designate Member(s) of Record as sole individuals receiving membership benefits and space access.

4.2 Updates

Members of Record updates occur anytime via written request.

5.1 Designated Areas and Times

All loading/unloading must occur at designated times and entrances specified by PetroSuites.

5.2 Responsibility for Damage

Companies are responsible for damage during loading, unloading, or deliveries, even from independent suppliers.

6.1 Disposal Requirements

All garbage and refuse must be disposed in designated dumpster containers as specified by PetroSuites.

6.2 Removal Costs

Companies are responsible for costs removing their group’s refuse.

7.1 Prohibited Installations, Alterations and Improvements

• No aerials, antennas, or items on roof/exterior walls without prior written consent
• No alterations or additions without First H&H’s prior written consent

7.2 Noise and Devices

Loudspeakers, televisions, radios, lights, or other devices cannot be used audibly/visibly outside private offices without prior written consent.

7.3 Obstructions

Members shall not place obstructions or merchandise in doorways, vestibules, or sidewalks.

7.4 Parking

• Members must park only in designated areas
• Overnight or long-term parking prohibited without PetroSuites’ prior written consent

7.5 Plumbing Facilities

• Plumbing must be used for intended purposes only
• Members are responsible for misuse damage

7.6 Prohibited Activities

• No burning of trash or garbage
• Premises cannot be used for overnight sleeping or as domicile
• No pets allowed
• No signage/advertising without prior written consent (except within private offices)
• Smoking prohibited inside building and within 20 feet of entrances

8.1 Service Offerings

• Business address provision for mail and package receipt
• Secure mail and package handling/storage
• 24/7 mailbox and designated common area access
• Optional mail scanning, forwarding, and meeting room usage

8.2 Package Acceptance and Storage

• Accepts packages fitting mailbox or under 50 lbs
• Oversized packages up to 24″ x 24″ x 24″ and 100 lbs maximum accepted for short-term storage
• $20 acceptance fee per oversized package
• Free storage for 7 days; $10/day after
• Members notified via email upon package receipt
• After 7 days, PetroSuites may forward packages at member’s expense plus $20 handling fee
• Unclaimed packages after 30 days may be returned/disposed without liability

8.3 Mail Scanning and Handling Services

• PetroSuites offers mail opening, scanning, and emailing services
• Weekly: $90/month; Bi-Weekly: $45/month; Monthly: $25/month
• Subscription constitutes consent to mail opening/scanning
• Physical mail securely shredded after scanning unless forwarding requested
• Physical forwarding available with actual shipping costs plus $20 handling fee

8.4 Mail Handling Compliance

• Clients must complete USPS Form 1583 authorizing mail receipt
• Assistance provided during onboarding
• Form failure may suspend mail services
• PetroSuites complies with postal laws and regulations

8.5 Limitation of Liability

PetroSuites is not responsible for loss, delay, or mail/package damage once delivered. Members should arrange insurance for valuable shipments.

8.6 Hold Harmless

Members hold PetroSuites harmless from mail/package handling claims, except for gross negligence or willful misconduct.

9.1 24/7 Access

Members have 24/7 mailbox and designated common area access.

9.2 Security Responsibilities

• Members must secure premises upon entry/exit
• Do not share keys/access devices with unauthorized individuals
• Report lost/stolen keys immediately; replacement fees apply

9.3 Security Measures

Facilities include surveillance cameras and secure entry systems.

9.4 Limitation of Liability

PetroSuites is not liable for loss/damage to mail or packages once delivered to mailboxes.

10.1 Acceptable Use

• Services must be for lawful, ethical business purposes
• Use must comply with all applicable laws, rules, and regulations
• Prohibited activities include: fraudulent actions, illegal space use, zoning law violations

10.2 Prohibited Items

The following cannot be accepted for mail/package handling or stored in Membership Space:

• Hazardous materials
• Illegal substances/items
• Perishable goods
• Items requiring special handling/storage
• Weapons or explosives
• Items prohibited by postal/carrier regulations

10.3 Compliance with Laws

• Members must comply with all local, state, and federal laws
• PetroSuites reserves right to impose operational compliance requirements
• Members are solely responsible for law/regulation violations; non-compliance may result in immediate service termination and legal action

11.1 Purpose

This Code outlines standards and behaviors for creating a supportive, collaborative work environment.

11.2 Scope

Applies to all members, guests, staff, and persons involved in PetroSuites activities.

11.3 Community Standards

Respect

• Treat all individuals with respect, dignity, and courtesy
• Respect personal space and property

Communication

• Communicate openly and honestly
• Avoid profanity, derogatory remarks, and inappropriate language

Inclusivity

• Create inclusive environment welcoming diverse voices
• Discrimination based on race, gender, sexual orientation, disability, or protected characteristics is not tolerated

Collaboration

• Encourage collaboration and interaction
• Share knowledge and foster community connections

11.4 Use of Space

• Respect shared space nature; keep communal areas clean and tidy
• Return items to original locations after use
• Be mindful of noise; use headphones for audio content
• Keep phone conversations in designated areas
• Book meeting rooms in advance; vacate promptly

11.5 Safety and Security

• Do not engage in or threaten physical violence
• Report suspicious or unsafe activities immediately
• Ensure doors are closed/locked as required
• Do not share keys or access codes with unauthorized persons

11.6 Compliance with Laws

Members must comply with all local, state, and federal laws while on premises, including drug, alcohol, and weapons regulations.

11.7 Consequences of Misconduct

Violations may result in disciplinary action, including suspension or membership termination.

11.9 Review and Amendments

The Code of Conduct is subject to periodic review and amendments.

12.1 Reservation and Usage

• Reservations must be made in advance through website booking system
• Usage limited to reserved time slot; adhere to scheduled start/end times
• No unaccompanied children outside meeting rooms

12.2 Cleanliness and Upkeep

• Reserving individual/group is responsible for cleanliness during/after use
• Leave room in same condition as found
• Remove debris, belongings, and food waste
• Dispose food waste in outside dumpsters
• Clean spills immediately

12.3 Furniture and Equipment

• Return chairs/tables to original positions if moved
• Turn off and properly store all equipment

12.4 Whiteboards

• Clear whiteboards after use
• Do not leave personal or sensitive information

12.5 Personal Belongings

Do not leave belongings after reservation. Unattended items will be removed.

12.6 Food and Drinks

• Food and drinks allowed
• Be mindful of spills and crumbs
• Dispose trash properly

12.7 Noise Level

• Maintain reasonable noise levels
• Use headphones for audio/video conferences when appropriate

12.8 Emergency Exits

• Keep emergency exits and pathways clear
• Do not obstruct doors or fire equipment

12.9 Reporting Issues

Report technical or cleanliness issues to office staff promptly.

12.10 Respect and Consideration

• Treat conference room as own space
• Be respectful of others using room afterward

12.11 Consequences of Non-Compliance

• First Offense: $50 clean-up fee
• Second Offense: $100 fee
• Access Restriction: Failure may result in restricted access or other actions

13.1 Fee Schedule

Virtual Office Plans Additions:

• Mail Scanning: Weekly $90/month; Bi-Weekly $45/month; Monthly $25/month
• Package Forwarding: Actual shipping cost plus $20 handling fee
• Oversized Package Acceptance: $20 per package
• Storage: $10/day beyond 7 days
• Key Replacement: $20 per key; $50 per fob
• Late Payment: $30 for payments after 5th of month
• Unsuccessful Payment: $30 per occurrence after first unsuccessful payment

Failure to Pay Membership Dues:

Failure to pay by the 5th of each month constitutes breach. H&H may demand accelerated remaining month payment; 12% per annum compounded monthly interest accrues.

13.2 Payment Terms

Billing Cycle: Payments due monthly in advance.

Methods of Payment: Payments via authorized methods specified in Membership Agreement.

Card Processing Fee: 3.5% processing fee applied to credit/debit card, Apple Pay, and Google Pay transactions, automatically added to total amount.

Late Payments: Late payments may incur fees as specified above.

PetroSuites is committed to protecting privacy and handling personal information responsibly.

• Payment information: Credit card details, billing address
• Business information: Company name, industry

Usage Data: Information on how you use services and website.

• Provide and improve services

• Comply with legal obligations

14.4 Disclosure of Your Information

Third-Party Service Providers: Information shared with trusted providers assisting in business operations.

Reasonable security measures implemented to protect personal information.

First H&H reserves the right to amend or add terms and conditions and adopt additional membership rules and regulations. Notice of such changes found at www.petrosuites.com/t-c. Company agrees to comply upon notice. Posting changes constitutes notice.
